1. Acceptance of Terms
   By accessing and using romp.realestate (the “Site”), you agree to be bound by these Terms & Conditions (the “Terms”). If you disagree with any part of the Terms, then you may not access the Site.

2. Description of Service
   romp.realestate is a prop tech platform that provides transparent deal flow for real estate. The Site allows sellers agents to list properties and buyers and buyers agents to search for properties and make compensation agreements.

3. User Accounts

• To access certain features of the Site, you may be required to create an account.
• You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.   
• You agree to immediately notify us of any unauthorized use of your account or any other breach of security.  

4. User Content

• You are solely responsible for any content you post on the Site.
• You represent and warrant that you have all necessary rights to post such content and that it does not violate any third-party rights.
• We reserve the right to remove any content that violates these Terms or that we deem inappropriate.

   

5. Intellectual Property Rights

• The Site and its content, including but not limited to text, graphics, logos, images, and software, are the property of ROMP Real Estate, Inc. and are protected by copyright and other intellectual property laws.   
  
• You may not use the Site or its content for any commercial purpose without our express written consent.

   

6. User Conduct

• You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Site by, any third party.  
  
• Specifically Prohibited Conduct: 
  • Posting false, inaccurate, misleading, or fraudulent information, including but not limited to property listings, agent profiles, and compensation agreements.
  • Impersonating another person or entity, including another user, agent, or ROMP Real Estate, Inc. representative.
  • Engaging in any discriminatory housing practices, including refusing to sell or rent to any person because of race, color, religion, sex, familial status, national origin, or disability.
  • Harassing, abusing, or threatening other users, including through the use of offensive language, personal attacks, or unwanted solicitations.
  • Interfering with the operation of the Site, including by attempting to gain unauthorized access to the Site, overloading the Site’s servers, or introducing viruses or other malicious code.
  • Using the Site to distribute spam or malware.
  • Scraping, harvesting, or otherwise collecting data from the Site without our express written consent.
  • Violating any applicable laws or regulations.

     

7. Third-Party Links

• The Site may contain links to third-party websites.
• We are not responsible for the content or privacy practices of these websites.
• We encourage you to review the terms and conditions and privacy policies of any third-party websites you visit.

   

8. Data Privacy

• We collect and use your personal information in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

9. Termination

• We may terminate your access to the Site at any time for any reason, including but not limited to your breach of these Terms.
• Upon termination, you will no longer be authorized to access the Site.

   

10. Fees and Payments / Billing

• Sellers agents may be required to pay fees to list properties on the Site.
• The fees and payment terms will be displayed on the Site.
• We reserve the right to change the fees at any time.
• All fees are non-refundable, except as expressly stated in these Terms.

   

11. Returns and Refunds

• Since the Site provides a service, no returns are accepted.
• Protective Refund Policies: 
  • Unauthorized Charges: If a user is charged for a service they did not authorize, they may be eligible for a full refund of the unauthorized charge.
  • Service Interruptions: In the event of a significant service interruption that prevents users from accessing the Site for an extended period of time, we may, at our discretion, offer prorated refunds or credits to affected users.

12. Disclaimer

• The Site and its content are provided “as is” without warranty of any kind.
• We do not guarantee the accuracy, completeness, or reliability of any content on the Site.
• We are not responsible for any errors or omissions in the content.

   

13. Limitation of Liability

• In no event shall ROMP Real Estate, Inc. be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site.

   

14. Indemnification

• You agree to indemnify and hold harmless ROMP Real Estate, Inc. from any and all claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Site.

   

15. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of the State of Florida.

   

16. Dispute Resolution

• Any dispute arising out of or related to these Terms shall be settled by arbitration in accordance with the rules of the American Arbitration Association.

• We reserve the right to modify these Terms at any time.
• Your continued use of the Site following the posting of any changes to the Terms constitutes acceptance of those changes.
